1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the website and services provided by Audway Solutions LLC ("Company," "we," "us," or "our"). By accessing our Site at audwaysolutions.com or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our Site or services.

2. Services

Audway Solutions LLC provides professional web design, website development, and ongoing website maintenance and support services to local service businesses. The specific scope of services is agreed upon in a separate project proposal or service agreement prior to work beginning.

Standard service offerings include:

• Custom website design and development

• Website hosting and technical maintenance (monthly retainer)

• Content updates and support (as defined in your retainer agreement)
  

3. Project Terms & Timelines

3a. Kickoff & Materials

The project build timeline begins only after all required client materials have been received, including but not limited to: logo files, brand assets, written content, images, and login credentials. Delays in providing materials will extend the project timeline accordingly.

3b. Standard Timeline

Most projects are completed within 4–6 weeks from the date all materials are received. Project timelines are estimates and may vary based on project complexity, client responsiveness, and revision requests.

3c. Revisions

Each project includes two (2) rounds of revisions as part of the standard scope. Additional revision rounds beyond this limit are billed at the hourly rate outlined in your project agreement. A revision round is defined as a consolidated set of feedback submitted in a single communication.

3d. Staging & Review

All projects are developed on a private staging environment (business.audwaypreview.com). Client review and approval on staging is required before the site is launched to the live domain.

4. Payment Terms

All pricing is agreed upon in writing before work begins. Standard payment terms are as follows:

• 50% deposit required to begin work

• Remaining 50% due upon project completion, prior to site launch

• Monthly retainer fees are billed on the first of each month
  

Invoices not paid within 15 days of the due date may result in a suspension of services. Accounts past due by 30 days or more may be subject to a late fee of 1.5% per month on the outstanding balance.

5. Monthly Retainer Services

Clients who elect a monthly retainer agreement receive ongoing website hosting, maintenance, security updates, and support. The base retainer is billed monthly and subject to the terms of the signed retainer agreement.

Retainer services may be cancelled with 30 days written notice. Upon cancellation, all website files and content will be provided to the client in a format suitable for transfer to another hosting provider. Domain ownership remains with the client at all times.

6. Intellectual Property

6a. Client Content

You retain full ownership of all content, logos, images, and materials you provide to us. By providing these materials, you confirm that you have the rights to use them and grant us a license to use them solely for the purpose of building and maintaining your website.

6b. Website Deliverables

Upon receipt of final payment, ownership of the custom website design and code built for your project transfers to you. We retain the right to display the project in our portfolio and marketing materials unless you request otherwise in writing.

6c. Third-Party Assets

Websites may incorporate licensed third-party themes, plugins, fonts, or stock assets. These remain subject to their respective licenses. We will disclose any significant third-party components used in your build.

7. Client Responsibilities

You agree to:

• Provide accurate business information and all required materials in a timely manner

• Maintain confidentiality of any login credentials provided

• Notify us promptly of any unauthorized access to your website or accounts

• Not use your website for unlawful, harmful, or deceptive purposes

• Ensure all content you provide complies with applicable laws, including copyright and privacy regulations

8. Limitation of Liability

To the fullest extent permitted by law, Audway Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services. Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount you paid us in the 90 days prior to the claim.

We are not responsible for downtime, data loss, or damages caused by third-party hosting providers, plugin conflicts, or events outside our reasonable control.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that your website will achieve specific rankings in search engines, generate a specific volume of leads, or remain free from errors at all times. We will make commercially reasonable efforts to deliver quality work and resolve issues promptly.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Maine, without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will provide reasonable notice of material changes by updating the effective date above and, where appropriate, notifying active clients by email. Continued use of our services following such changes constitutes acceptance.

12. SMS Communications & Consent

By providing your phone number and opting in to SMS communications through any form on our Site, booking page, or by initiating direct text contact with us, you consent to receive text messages from Audway Solutions LLC. These messages may include appointment confirmations, booking reminders, follow-up communications, project updates, and general business inquiries.

Consent is not a condition of purchase or service. You may engage our services without consenting to SMS communications.

To opt out at any time, reply STOP to any message from us. You may also email [email protected] to be removed. After opting out, you will receive one confirmation message and no further SMS communications.

Message frequency varies. Message and data rates may apply depending on your carrier plan.

We do not share, sell, or transfer your phone number or SMS consent to third parties for marketing purposes.

SMS messaging is intended for individuals 18 years of age or older.

Carriers are not liable for delayed or undelivered messages.
